Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and FirstSlate (“FirstSlate,” “we,” “us,” or “our”) governing your access to and use of the FirstSlate platform available at firstslate.co (the “Service”).

By accessing or using the Service, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice within the platform. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

FirstSlate is a client workflow management platform designed for independent video producers and creative agencies. The Service allows you to create client intake forms, generate proposals, issue invoices, build call sheets, and manage your client relationships — all under your own studio branding.

FirstSlate is not an accounting platform, legal document service, or e-signature tool. Features available to you depend on your subscription plan. We reserve the right to modify, suspend, or discontinue features of the Service with reasonable notice.

You must create an account to access the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@firstslate.co if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in activity that may harm the platform or other users.

FirstSlate offers a free plan and paid subscription plans (Pro and Studio). Free plan users are subject to the usage limits stated on our pricing page. Paid plans grant expanded limits and additional features as described at the time of purchase.

Paid subscriptions are billed on a monthly or annual basis, as selected at checkout. All fees are stated in US dollars and are exclusive of applicable taxes. You authorize us to charge your payment method on file on each billing date.

If a payment fails, we will notify you and may downgrade your account to the free plan after a reasonable grace period. Refunds are governed by our Refund Policy, available at firstslate.co/refund-policy.

You agree not to use the Service to:

• Violate any applicable law or regulation
• Transmit spam, unsolicited communications, or malware
• Impersonate any person or entity or misrepresent your affiliation
• Attempt to gain unauthorized access to the Service or its infrastructure
• Interfere with or disrupt the integrity or performance of the Service
• Scrape, crawl, or harvest data from the Service without our written consent
• Use the Service to facilitate fraudulent transactions or deceive your clients

We reserve the right to investigate and take appropriate action against violations, including account suspension and reporting to law enforcement.

You retain ownership of all content you upload, create, or transmit through the Service (“User Content”), including client data, project files, and studio branding assets. By using the Service, you grant FirstSlate a limited, non-exclusive license to store, process, and display your User Content solely to provide the Service to you.

You represent and warrant that you have all necessary rights to your User Content and that it does not infringe any third-party intellectual property rights. You are solely responsible for the accuracy and legality of your User Content.

The Service, including its design, software, features, and all FirstSlate-owned content, is owned by FirstSlate and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding in any manner.

You may not copy, modify, distribute, sell, or create derivative works of any part of the Service without our express written permission.

The Service integrates with third-party providers including Supabase (database and authentication), Stripe (payment processing), and Resend (transactional email). Your use of these integrations is subject to the respective provider's terms and privacy policies. We are not responsible for the acts or omissions of third-party providers.

Payment processing for client invoices is handled directly through your connected Stripe account. FirstSlate does not store payment card information.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. We do not guarantee any specific results from use of the Service. Proposal acceptance through the platform does not constitute a legally binding contract or verified electronic signature.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIRSTSLATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

Our total aggregate liability to you for any claims arising from these Terms or the Service shall not exceed the greater of (a) the total fees paid by you to FirstSlate in the twelve months preceding the claim or (b) one hundred US dollars ($100).

You may cancel your account at any time through your account settings or by contacting us. Upon cancellation, your access to paid features will continue until the end of your current billing period.

We may suspend or terminate your account immediately if you materially breach these Terms or if we determine that continuation of your account poses a risk to the Service or other users. Upon termination, your right to access the Service ceases. We will retain your data for a reasonable period to allow you to export it before permanent deletion.

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any dispute arising from or relating to these Terms shall be resolved through binding arbitration or in courts of competent jurisdiction, and you consent to personal jurisdiction in such courts.
